1. Definitions

In these terms, the following definitions apply: BEWISE: BEWISE Solutions, CoC 12345678; Platform: the BEWISE Commerce Platform as SaaS service; Customer: the legal entity or natural person that takes out a subscription; Agreement: the subscription to the Platform.

2. Applicability

These terms apply to all agreements between BEWISE and the Customer. Deviating terms of the Customer are not accepted unless agreed in writing.

3. Subscription and payment

The subscription starts after registration and is billed monthly. After a trial period of 14 days, the payment obligation starts. Payment is made via Mollie. In case of late payment, BEWISE is entitled to suspend the service.

4. Service delivery

BEWISE aims for 99.9% availability per month. Planned maintenance is announced at least 24 hours in advance. BEWISE is not liable for outages at third parties (APIs of ERP suppliers or webshop platforms).

5. Intellectual property

All rights to the Platform rest with BEWISE. The Customer receives a non-exclusive, non-transferable licence to use the Platform during the term of the Agreement.

6. Liability

BEWISE's liability is limited to the fee paid by the Customer in the three months preceding the damage-causing event. BEWISE is not liable for indirect damage or consequential damage.

7. Cancellation

The Customer may cancel the subscription monthly via account settings or by email to info@bewisecommerce.com. BEWISE may terminate the Agreement in case of serious breach after a reasonable cure period.

8. Applicable law

Dutch law applies to this Agreement. Disputes are submitted to the competent court in the district of Oost-Brabant.
